Terms of Service

1. Eligibility & Accounts

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use. If you create an account on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. The Service

Ymee Lab provides tools for creative production, including moodboards, AI-assisted image and video generation, virtual try-on, and team collaboration. We may add, change, or remove features at any time. We may also set limits on use (such as generation quotas or storage) consistent with your plan.

3. Subscriptions, Billing & Payments

Paid plans are billed through our payment processor, Stripe, on a recurring basis (monthly or as otherwise stated at purchase). By subscribing, you authorize us to charge your payment method for the applicable fees, including taxes, until you cancel.

• Renewals — subscriptions renew automatically at the then-current price unless cancelled before the renewal date.
• Cancellation — you may cancel at any time; access continues through the end of the current billing period.
• Refunds — except where required by law, fees are non-refundable and partial periods are not prorated.
• Price changes — we may change pricing prospectively with reasonable notice.

4. Your Content

You retain all ownership rights in the images, prompts, reference material, and other content you upload to or create within the Service (“Content”). You grant YMEE a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display your Content solely as necessary to operate and provide the Service to you and your workspace. You represent that you own or have the necessary rights to your Content and that it does not infringe the rights of others.

5. AI-Generated Output

The Service generates output using artificial-intelligence models. Subject to your compliance with these Terms and applicable law, you own the output you generate, to the extent such output is eligible for ownership. You acknowledge that:

• AI output may not be unique — similar output may be generated for other users — and may not be eligible for intellectual-property protection in all jurisdictions;
• you are responsible for reviewing output before use, including for accuracy, rights clearance, and suitability for your purpose; and
• you must not use the Service to generate output that infringes third-party rights or violates Section 6.

6. Acceptable Use

You agree not to use the Service to:

• Violate any law or infringe the intellectual-property, privacy, or publicity rights of others;
• Upload or generate unlawful, harmful, harassing, defamatory, or sexually exploitative material, including any content involving minors;
• Impersonate any person or misrepresent your affiliation;
• Reverse engineer, scrape, or attempt to gain unauthorized access to the Service or its underlying models and systems;
• Interfere with or disrupt the integrity or performance of the Service; or
• Resell or provide the Service to third parties except as expressly permitted.

7. Intellectual Property

The Service, including its software, design, branding, and content (excluding your Content and your output), is owned by YMEE or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No rights are granted except as expressly stated.

8. Third-Party Services

The Service integrates with third-party services (such as Google sign-in, Stripe, and AI providers). Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitations of liability, and governing law) will survive.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR FIT FOR YOUR PURPOSE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YMEE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless YMEE and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Content, your use of the Service, or your violation of these Terms or applicable law.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and YMEE regarding the Service. If any provision is found unenforceable, the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
